Mr. Kaizad Bharucha

Kaizad M. Bharucha serves as the Deputy Managing Director (DMD) of HDFC Bank which is India’s largest private sector bank. A career banker with over 39 years of experience, he has been an integral part of HDFC Bank since its inception in 1995. Among his several contributions in building the Bank, he has played a key role in building the credit and risk frameworks that underpin the Bank’s operations.

These frameworks have supported HDFC Bank’s consistent growth, safeguarding its ability to navigate volatile economic conditions effectively. Today, HDFC Bank is India’s largest private sector bank by Balance Sheet size in India with pristine asset quality.

As DMD, he oversees a broad spectrum of responsibilities within the Bank. He leads Wholesale Banking, PSUs, MNC, Capital & Commodity Markets and Realty Business Finance. Kaizad also manages Inclusive Banking Initiative Group, Corporate Social Responsibility (CSR) and Environmental, Social and Governance (ESG) functions.

In his current role as DMD, he co-chaired and spearheaded the Integration Committee, which was tasked with the responsibility of ensuring complete integration for the smooth merger of HDFC Ltd. With HDFC Bank. This was the largest merger in recent years in India.

Mr. Bharucha joined the Board of the Bank in 2014 and is its longest-serving Executive Board member. During his tenure as the Bank’s Executive Director, Kaizad managed diverse portfolio, including Corporate Banking, Capital & Commodities Markets, Emerging Corporates, Business Banking, Healthcare Finance, Agri- Lending, Tractor Financing, Commercial Vehicle Finance, Infrastructure Finance, and Inclusive Banking Initiatives.

Under his leadership, the Bank’s CSR programme, amongst the top three in the country, he worked for community upliftment and sustainable development, aligned with its vision of empowering sustainable progress. Kaizad is also the chief sponsor of Diversity and Inclusion initiatives at HDFC Bank, a cause that is close to his heart.

Mr. Bharucha holds a bachelor’s degree in commerce (B. Com) from Sydenham College of Commerce and Economics (University of Mumbai).

Mr. Bharucha also serves as the Designated Director for the Financial Intelligence Unit (FIU) and the Internal Ombudsman Scheme. Kaizad has also been part of Reserve Bank of India (RBI) committees, sub-committees as well as government appointed inter-ministerial committee. He also regularly engages with regulators and government bodies to provide views on policy.

Mr. Bharucha serves as a Non-Executive Director on the Board of HDFC Life Insurance Company Limited, HDFC Capital Advisors Limited and HDFC Securities IFSC Ltd (Chairman).

Apart from HDFC Bank, Mr. Bharucha does not hold full-time position in any other company or body corporate.

 

Mrs. Renu Karnad

Mrs. Renu Sud Karnad is a Non-Executive (Non- Independent) Director on the Board of Bank. Mrs. Karnad was the Managing Director of erstwhile Housing Development Finance Corporation Limited (HDFC Ltd) from 2010 till June 30, 2023.

She holds a Master’s degree in Economics from the University of Delhi and a Bachelor’s degree in Law from the University of Mumbai. She is a Parvin Fellow - Woodrow Wilson School of Public and International Affairs, Princeton University, USA. Ms. Karnad has had to her credit, numerous awards, and accolades. Prominent among them being featured in list of ‘25 top non-banking women in finance’ by U.S. Banker magazine, listed by Wall Street Journal Asia as among the ‘Top Ten Powerful Women to Watch Out for in Asia’, ‘Outstanding Woman Business Leader’ by CNBC-TV18, 25 Most Influential Women Professionals in India by India Today.

Mrs. Karnad is a Director on the Board of HDFC Asset Management Company Limited, Glaxosmithkline Pharmaceuticals Limited, EIH Limited, HDFC ERGO General Insurance Company Limited, HDFC Capital Advisors Limited, Bangalore International Airport Limited, PayU Payments Private Limited and Nudge Lifeskills Foundation. Mrs. Karnad does not hold full-time position in any other company or body corporate.

Dr. (Ms.) Sunita Maheshwari

Dr. (Mrs.) Sunita Maheshwari is an Independent Director on the Board of the Bank. 

Dr. (Mrs.) Sunita Maheshwari is a US Board certified Pediatric Cardiologist, who completed her MBBS at Osmania Medical College followed by postgraduation at AIIMS, Delhi and Yale University in the US. With over thirty (30) years of experience, she has lived and worked in the US and India.

In addition to being a clinician, Dr. (Mrs.) Maheshwari is a medical entrepreneur and co-founder at The Telerad Group which includes:
(a) Teleradiology Solutions Private Limited (India’s first and largest teleradiology company that has provided over 8 million diagnostic reports to patients and hospitals globally),
(b) Telrad Tech Private Limited which builds AI enabled tele health software and (c) RXDX Healthcare - a chain of multi-specialty neighbourhood phygital clinics in Bangalore and rural India.

She has also incubated other start-up companies in the telehealth space such as Healtheminds -a tele-counselling platform. She is active in the social arena in India where she runs 2 trust funds.

‘People4people’ has put up over 650 playgrounds in government schools and Telrad Foundation provides teleradiology and telemedicine services to poor areas in Asia that do not have access to high quality medical care. Her other interests include teaching - she has been running India’s e-teaching program for postgraduates in Pediatric Cardiology for over a decade. She is a Mentor in Residence for the Sustainable Health Initiative of the Yale Institute for Global Health where she and her husband have instituted the Kalyanpur-Maheshwari Endowment for Global Health Innovation. She is currently the President of the Pediatric Cardiac Society of India.

She has over 200 academic presentations and publications to her credit and is an inspirational speaker having given over 200 lectures, including several TEDx talks. Dr. (Mrs.) Maheshwari is the recipient of several prestigious awards and honours including: Trailblazing Indian Cardiac Leader at the ET Indian Cardiac Care Innovation Summit 2024;, Business world’s 20 most influential women in healthcare 2022; WOW (Woman of Worth) 2019 award; Amazing Indian award- Times Now 2014; Top 20 women Health care achievers in India, Modern Medicare 2009; Yale University- Outstanding Fellow Teacher of the Year Award, 1995, amongst others.

Dr. (Mrs.) Maheshwari is a Director on the Board of A-KAL Televerse Private Limited, GlaxoSmithKline Pharmaceuticals Limited, Telerad Tech Private Limited, Image Core Lab Private Limited, Healtheminds Solutions Private Limited and Telerad Rx Dx Healthcare Private Limited.

Dr. (Mr.) Harsh Kumar Bhanwala

Dr. (Mr.) Harsh Kumar Bhanwala is an Independent Director on the Board of the Bank. Mr. Bhanwala was the Chairman of the National Bank for Agriculture and Rural Development (NABARD), the Apex Development Bank of the Country, from December 18, 2013, to May 27, 2020. He has been the Executive Director and later Chairman cum Managing Director of India Infrastructure Finance Company Limited (IIFCL).

He has also been the Managing Director of the Delhi State Cooperative Bank. Recently, he also served as the Executive Chairman of a listed NBFC (Capital India Finance Limited). He has a vast experience of more than 38 years in areas such as Board governance & management, Finance, Rural development, promoting & supporting sustainable agriculture, and supervision & development of Rural Cooperative Banks.

He headed the Technical Group appointed by SEBI on the Social Stock Exchange (September 2020). He was a member of the Expert Committee on the Primary (Urban) Cooperative Banks of the RBI constituted after the amendment in the Banking Regulation Act 1949.

Mr. Bhanwala has board experience with Deposit Insurance & Credit Guarantee Corporation (DICGC), IRMA (Institute of Rural Management Anand), National Institute of Bank Management (NIBM, and as an Independent Director on the boards of Bayer Crop Science and Arya Collateral Warehousing Services Private Limited). He has served as Vice Chairman of the Asia-Pacific Rural and Agricultural Credit Association (APRACA).

Mr. Bhanwala earned a B.Sc. in Dairy Technology from National Dairy Research Institute (NDRI), Karnal. He is a Postgraduate in Management from IIM, Ahmedabad and holds a Ph.D. in Management. He has been awarded an honorary doctorate in Science by Tamil Nadu Agricultural University, Coimbatore, and the Indian Council of Agricultural Research-Central Institute of Fisheries Education, Mumbai. Mr. Bhanwala is a public interest director and chairman on the Board of The Multi Commodity Exchange of India Limited and is also a director of Microfinance Industry Network (Association of NBFC – MFIs). Mr. Bhanwala does not hold full-time position in any other company or body corporate.
